Fractional Outside & General Counsel

Senior, in-house style legal judgment for companies that are not ready to hire a full-time general counsel, and should not be paying full-time prices

The problem this solves

Most growing companies reach a point where outside counsel by the hour is no longer enough. Legal questions come up constantly, the contracts pile up, and every call to a law firm starts a meter. So the calls stop happening, and risk quietly accumulates until something becomes expensive.

A full-time general counsel solves that, but a senior GC is a major hire, often more than $400,000 a year in total compensation before benefits and overhead. Most companies are not there yet.

A fractional general counsel fills the gap. You get an experienced lawyer embedded in your business, thinking ahead about risk, for a predictable monthly fee that is a fraction of a full-time hire.

What I do as your fractional GC

I work as part of your team rather than a vendor you call in emergencies. This includes services such as:

- Review, draft, and negotiate your commercial, software, and technology contracts

- Build the templates and playbooks that let your team move faster (NDAs, customer agreements, vendor terms, and more)

- Advise on intellectual property, software licensing, and open source

- Handle privacy, data protection, and compliance questions as they arise

- Advise on artificial intelligence adoption and governance

- Manage and coordinate specialist outside counsel when a matter calls for it, so you are not managing lawyers yourself

- Sit in on the business decisions where legal input belongs, and give you a straight recommendation

Why work with me

I am not a law firm associate learning your industry on your dime. I spent more than two decades as in-house counsel inside a global technology company, including as Group Counsel for a new GPU business and as lead counsel for a major software platform. I understand budgets, product timelines, and the difference between a real risk and a theoretical one, because I lived on the business side of that line for over 20 years.

I also keep current on the issues that matter now. I teach continuing legal education on artificial intelligence and legal problem solving, and I advise executives on AI governance and implementation.

How engagements work

I keep the structure simple and predictable.

Start with a legal roadmap.

For a fixed fee, I review your current contracts, practices, and risk areas and deliver a clear written assessment of where you stand and what to address first. The roadmap is yours to keep, whether or not we continue together. It is the lowest-pressure way to find out if I am the right fit.

Continue on a monthly basis.

If an ongoing relationship makes sense, you choose how much support you need, from light oversight to deeper, embedded involvement. You get a predictable monthly cost and a lawyer who knows your business, instead of surprise invoices.

Or engage by the project.

For a defined piece of work, a financing round, a key contract, a set of templates, I am glad to take it on as a one-time engagement.

Who I work with

Software and technology companies, startups and growing businesses, in California and nationally. I have supported a business with international operations for years, so I am also comfortable serving non-US companies that need counsel for their US operations.
